Article I - Name and Location
1.01 Name: The name of this organization is the New Mexico Border Health Council, hereafter known as the Organization.
1.02 Location: The principal office of the New Mexico Border Health Council will be in Las Cruces, Doña Ana County, New Mexico.
Article II - General Membership
2.01 General Membership: Shall consist of all persons indicating
a professional or personal interest in the Mission of the Organization
and who
confirm in writing their
desire for membership.
2.02 Associate Members: Shall consist of all persons indicating
a professional or personal interest in the Organization, are not
permanent residents of
the state of New Mexico,
and confirm in writing their desire for membership. Associate
members shall be non-voting members of the General
Membership.
2.03 Resignations: Any member may resign by filing a resignation, in writing, with the Secretary.
Article III – Annual Meetings of the Organization
3.01 Meetings: There will be one annual meeting of the General
Membership, to be held in December of each calendar year on the date and
at the
place and hour designated
by the Executive Committee.
3.02 Special Meetings: Special meetings of the Organization may
be called and convened by the Chairperson or a majority of the Executive
Committee.
3.03 Place of Meeting: Any place within the state of New Mexico
may be designated as the place of meeting of any annual or special
meeting of the
members.
3.04 Quorum: Those in attendance at all general membership meetings shall constitute a quorum for such meetings.
Article IV – Advisory Council
4.01 Membership: Shall consist of not more than 13 members.
The Executive Committee (EC) shall appoint all members of the Advisory
Council.
The EC will seek nominations
from the respective County Manager, local elected officials, the General
Membership and the BHO Director.
Members will be appointed
for a term of two years and may be re-appointed for additional terms.
4.02 Geographic Membership Representation: The Advisory
Council shall include at least one representative from each of the following
counties:
Dona Ana, Grant, Hidalgo,
Luna, Otero, Sierra, Chaves, Eddy, and Lea. Also, three at-large
members from the six-county border area and one
at-large member from the
three non-border county area.
4.03 Ex-Officio Members: Shall include the Director of the Border
Health Office and the Directors of Public Health Districts III & IV
or their
designees; staff representatives
of the local offices of the New Mexico United States Senators, and of the
United States Congressmen from the 2nd
Congressional District.
Ex-Officio members shall serve as non-voting members.
4.04 Meeting Attendance: Any member absent from two consecutive
regular meetings of the Advisory Council or Executive Committee without
adequate written explanation
to the Chairperson will be reassigned to the General Membership and
shall be so notified by the Secretary.
4.05 Regular Meetings: The Advisory Council shall meet quarterly.
4.06 Special Meetings: The Chairperson or the Director of the Border Health Office may call special meetings of the Advisory Council.
4.07 Quorum: A majority of the Advisory Council shall constitute a quorum.
Article V - Officers
5.01 Officers: The officers of the Organization shall be a Chairperson, a Vice-Chairperson, and a Secretary.
5.02 Chairperson: It shall be the duty of the Chairperson to
preside at all meetings, to enforce the guidelines of the Organization,
and perform such
other duties as may be prescribed
by these guidelines or the Advisory Council. The Chairperson shall
serve as Chair of the Executive Committee
and as the primary representative
of the Organization.
5.03 Vice-Chairperson: It shall be the duty of the Vice-Chairperson
to assist the Chairperson in the discharge of his or her duties,
as the Chairperson
may request. In the
absence of the Chairperson, the Vice-Chairperson will perform the
duties of the Chairperson.
5.04 Secretary: It shall be the duty of the Secretary to maintain
records of the Organizations proceedings and resolutions; to issue
notice of meetings;
and to perform, in general,
functions commonly identified with such office. The Secretary shall
ensure that minutes of meetings are distributed at
least one week prior to
the next Organization meeting.
5.05 Election and Term of Office: The Advisory Council shall
elect the Officers, as designated of the organization at the annual meeting.
The
Chairperson shall be elected
during the even years, for a term of two years. The Vice-Chairperson
shall be elected during the odd years, for a term
of two years. The
Secretary shall be elected during the even years, for a term of two years.
5.06 Vacancy: In case of a vacancy in an office, the Chairperson may appoint a replacement until the next Annual Meeting.
5.07 Term Date: Officers shall take office in January following the Annual Meeting.
Article VI - Committees
6.01 The Advisory Council may establish ad hoc or standing committees to accomplish the goals and responsibilities of the Organization.
6.02 Executive Committee: The Executive Committee shall consist of the Officers identified in 5.01. The Committee shall meet at least quarterly.
6.03 Committee Chairs: The Chairperson may appoint committee
chairpersons from members of the Advisory Council or from the membership
of the
committee.
Article VII - Fiscal Year
7.01 The Fiscal Year of the Organization shall be July 1st to June 30th.
Article VIII - Amendments
8.01 Proposed amendments to these guidelines shall be approved by a majority of the Executive Committee.
Robert's Rules of Order,
Revised shall be the authority in all questions and procedures not
covered by these guidelines.
